Terms and Conditions

For individually agreed website projects, CMS access, hosting and maintenance.

1. Provider and scope

The provider is Goran Macasev, trading as MISGORA, Marshall Heights Ring 3L, 97318 Kitzingen, Germany, email: contact@misgora.com. These terms apply to agreed services for business customers and consumers when validly incorporated into the contract. Individually agreed provisions take precedence. Mandatory statutory rights remain unaffected.

2. Enquiry, offer and contract

Service descriptions and starting prices invite customers to enquire. A contact form, quiz, demo, account access or viewing a proposed design does not by itself create a paid order. A contract is formed through matching declarations concerning the specific offer. Before accepting, the customer receives the service description, one-time and recurring total amounts, payment conditions and required contractual information, together with these terms in a form that can be saved.

3. Service scope and cooperation

The offer describes pages, functions, content, editing access, revisions, responsibilities and required customer contributions. Additional work and costs are agreed before being ordered. The customer provides necessary information, materials they are entitled to use and agreed approvals. Delivery dates and project commencement are specified in the offer. The stated 7 to 14 days is an indication depending on scope; a binding deadline comes from the agreement. Delays and their consequences are communicated and discussed.

4. Prices, payment and instalments

The total prices and due dates agreed in the offer apply. One-time creation, recurring hosting and maintenance, and agreed additional services are shown separately; the applicable tax treatment is stated before the contract is concluded. For a website on MISGORA hosting, the agreed creation price can be paid in full or, under an agreed payment schedule, in three monthly instalments, including projects starting at 399 euros. Hosting and maintenance are charged separately. Each instalment has its own due date; the instalment agreement alone neither grants a direct debit mandate nor activates automatic monthly debiting. Statutory rights to withhold performance or payment remain unaffected.

5. Design, review and publication

The customer receives the agreed design for review and, where agreed, access to prepared editing areas. Agreed revisions are coordinated and implemented. Public publication follows approval and receipt of the payment agreed to be due by that point. A private design is not yet a public website. Statutory rules on acceptance and defects remain unaffected; these terms do not treat silence alone as approval.

6. Content and usage rights

The customer retains rights to materials lawfully supplied by them. For commissioned work, they receive the usage rights needed for the agreed purpose under the offer's conditions. The offer specifies the scope, any exclusivity, when rights are granted, and the delivery of files or custom code. This does not transfer all reusable MISGORA software, CMS components and tools. Third-party materials remain subject to their disclosed licences. The customer checks their own business, service and contact information before publication.

7. Domains, email and third-party services

Domain registration, business email, external booking, payment and other services are included only to the extent expressly agreed. Providers, additional costs and responsibilities are identified before the order. Changes to third-party domains or accounts require appropriate authorisation. For work on an existing website, hosting, access and technical prerequisites are clarified in advance. Statutory and contractual responsibilities are not excluded.

8. Hosting, maintenance and support

The agreed scope determines hosting, SSL, updates, backups, recovery and technical support. Agreed editing areas enable customers to change their own content. Project communication and support use the stated contact channels and customer area. Particular availability, response or recovery commitments apply where expressly agreed. Maintenance and significant incidents are communicated appropriately. Changes or restrictions require a contractual or statutory basis; statutory customer rights remain unaffected.

9. Duration and termination

For recurring services, the offer states the start, billing interval, duration, any minimum commitment, renewal and ordinary termination before the contract is concluded. These terms do not introduce an additional general minimum commitment or notice period. Termination can be declared by email to contact@misgora.com; additional legally required methods remain available. The contract ends under the agreed and statutory rules. Termination does not automatically constitute withdrawal, a refund or an instruction to erase data. Statutory rights to extraordinary termination remain unaffected.

10. Consumer withdrawal

Consumers have a right of withdrawal where the statutory requirements are met. The applicable withdrawal instructions and model form for the specific contract are supplied separately before the contract is concluded; these terms do not replace them. Early performance, any proportionate compensation and any expiry of the withdrawal right depend on the statutory requirements and the necessary express declarations. A custom website, account access, payment or commencement of work alone does not constitute a blanket waiver of consumer rights.

11. Defects, refunds and liability

Statutory rights concerning defects and breaches of obligations apply. Customers can report errors, service problems and incorrect invoices to contact@misgora.com or through their customer area. Refunds are determined by the contract and law; no general no-refunds term is agreed. Liability is governed by statutory provisions. These terms introduce no limitation of liability. Particular revenue, search engine rankings or business outcomes are owed only where expressly included in the contract.

12. Privacy, handover and contract end

The privacy notice explains MISGORA's own processing of personal data. Where processing on a customer's behalf requires a data processing agreement, that agreement is concluded before such processing begins. The offer governs agreed exports, handover, domain release and technical assistance with a move, including any costs. The customer is informed about access ending and agreed handover steps. Retention and erasure follow applicable statutory duties and agreed privacy rules; termination does not trigger immediate erasure of all data.

13. Applicable law and contract version

German law applies to the extent that it can validly be agreed. Consumers retain the protection of mandatory provisions in their country of habitual residence. Jurisdiction is determined by law. The version validly incorporated when the contract was concluded, together with individual agreements, applies. Later website or price changes do not automatically amend existing contracts.
